Small Business & Transactional Law Clinic
In the Small Business and Transactional Law Clinic, students provide corporate and transactional legal services to small businesses, nonprofit organizations, and neighborhood groups. Clinic interns gain practical experience in transactional law while working directly with clients.
Under the guidance of faculty, students:
- Counsel for-profit and nonprofit groups on choice of entity formation and start-up services
- Draft bylaws, operating agreements, and partnership/shareholder agreements
- Apply for tax-exempt status for nonprofit corporations
- Draft, review, and negotiate contracts, leases, licensing agreements, and other documents
- Counsel on compliance with local, state, and federal laws
The Clinic experience offers students a unique opportunity to develop as transactional lawyers. They gain a keen sense of the interaction of law and business and begin to appreciate the perspective business persons have on the role of the law and lawyers in the business world. Armed with that experience, students are well poised to enter a business practice.
