Steven Ramirez, Professor of Law, earned a bachelor’s degree from the University of Missouri and a juris doctor from St. Louis University School of Law. Prior to joining the Washburn University School of Law faculty, Professor Ramirez was a partner with Robinson Curley & Clayton, a Chicago litigation firm, specializing in corporate, securities and banking litigation. He has served as a Senior Attorney for the Resolution Trust Corporation and as an Enforcement Attorney with the Securities and Exchange Commission. His teaching responsibilities include Evidence, Business Associations, Law and Economics and Advanced Business Regulations.
Speakers
Arthur A. Chaykin has over 20 years experience in law and business. He is currently Of Counsel at the Kansas City law firm of Polsinelli, Sbalton, Welte, where he focuses on litigation, debtor/creditor, and corporate ethics and compliance matters. Mr. Chaykin is the architect of a complete ethics and compliance program for a major health care client in Kansas City. Formerly, he was a leader in Sprint’s in-house law department, responsible for some of Sprint’s most important and difficult negotiations and cases. During his tenure as head of three different law departments at Sprint, he has helped resolve almost every conceivable business problem that can arise in a complex telecommunications business.
Harold Herman currently serves as a Group Counsel for Payless ShoeSource, Inc. where he is responsible for corporate governance, securities laws compliance and Central American corporate matters. Prior to joining Payless, he was an associate with Vinson & Elkins L.L.P. in their Dallas office where his practice focused on corporate and securities matters. Prior to joining Vinson & Elkins, he was an attorney with the Securities & Exchange Commission in the Division of Corporation Finance. Mr. Herman was responsible for reviewing ’33 and ’34 Act filings. Mr. Herman is also a CPA and has an MBA with a concentration in finance.
Dennis R. Honabach is the Dean and a Professor of Law of Washburn University School of Law. Prior to coming to Washburn Law, Dean Honabach was a Professor of Law and the Director of the Entrepreneurial Law Center of Western State University College of Law. From 1996-1999, he served as president and dean of that law school. He is the co-author of Proxy Rules Handbook (West Group) and The D & O Liability Handbook (West Group). He has written articles on a variety of corporate law subjects. Dean Honabach holds a J.D. from Yale Law School and an A.B. from Bucknell University. Prior to returning to academe, Dean Honabach practiced corporate law with the Pittsburgh, PA, law firm of Kilpatrick, Lockhart, Johnson & Hutchinson.
Daniel P. Kolditz is a senior attorney in the Legal Department of Anheuser-Busch Companies, Inc., St. Louis. He heads the Marketing & Distribution Section of the Legal Department. He is a former FBI Agent and Assistant Attorney General in Missouri. He earned his J.D. from Washburn University and his B.S. from the University of Missouri (Columbia).
Michael H. Miller is Executive Vice President, General Counsel and Secretary of American Investors Life Insurance Company, Inc., Delta Life and Annuity Company, and Financial Benefit Life Insurance Company. He has been a Director of the Company since 1997. Mr. Miller has been associated with the Company since 1989. He earned his B.A from Colorado State University and his J.D. from Washburn University School of Law.
